Photography Services Terms & Conditions
Effective Date: January 1, 2025

1. General Terms

Client acknowledges that final images may differ from initial concepts or layouts provided due to on-location circumstances, environmental conditions, logistical factors, and other variables, with PPT applying artistic and professional judgment to deliver optimal results. Disagreement with PPT's aesthetic judgment is not grounds for termination or refund. All advance payments are required before production begins. Late payments incur a $75 monthly handling fee plus 2% monthly interest. Client is responsible for any applicable sales tax.

2. Production Terms

Overtime:
Work beyond 10 consecutive hours incurs 1.5x hourly rate; beyond 12 hours incurs 2x hourly rate.

Postponements/Cancellations: PPT understands that projects and dates can shift, and we will do everything within our power to accommodate schedule changes, delays, and postponements. However, PPT reserves the right to bill for cancellations and postponements as follows: More than 3 business days notice: 50% of project fee Less than 3 business days notice: 100% of project fee Client responsible for any expenses already incurred

Weather Delays: For outdoor shoots, weather delays beyond PPT's control will incur daily delay fees as specified in project estimate.

Reshoots: Client pays 100% of fees for any requested reshoots. If images are lost due to PPT's technical error before delivery, PPT will reshoot at no charge (Client covers expenses only).

3. Client Responsibilities

Project Representative:
Client must have an authorized representative present during all shoots. If no representative is present, PPT's creative decisions will be considered approved by Client.

Approvals: Client is bound by all approvals and changes made by their representatives during production.

Permits, Access, and Releases: Client ensures all necessary location permits, model releases, and property releases are obtained prior to the shoot date. PPT is not responsible for any permits or releases. Client is responsible for providing timely access to shoot locations, including coordinating with building security, unlocking doors, providing parking passes, and ensuring all necessary clearances are in place for the scheduled shoot time.

4. Performance of Services
PPT may engage trusted subcontractors, assistants, or other professionals from PPT's established network to perform portions of the Services. PPT remains fully responsible for all work performed and ensures all subcontractors meet PPT's quality standards and comply with these terms.

5. Rights & Usage

Usage Rights: Client receives only the specific usage rights outlined in their signed proposal. All other rights reserved by PPT.

License Transfer: Usage rights transfer only upon full payment and Client's compliance with all agreement terms.

Copyright Ownership: PPT retains full copyright ownership of all images created.

No Assignment:
Client may not assign usage rights to third parties without PPT's written consent.

Attribution: Client must maintain any copyright notices and attribution as specified by PPT.

Portfolio Usage: PPT reserves the right to use images for portfolio, marketing, awards submissions, and promotional purposes unless Client specifically requests confidentiality in writing (additional fees may apply).

6. Liability & Protection

Delivery & Delays:
Delivery timeline and format will be specified in signed proposal. PPT is not liable for delays due to circumstances beyond reasonable control, including technical malfunctions or service interruptions.

Limitation of Liability: PPT's maximum liability is limited to the total project fee paid. PPT is not liable for consequential, incidental, or special damages.

Client Indemnification: Client indemnifies and holds PPT harmless from any claims arising from Client's use of images or from information provided by Client.

Force Majeure: Neither party is liable for delays due to circumstances beyond reasonable control (weather, illness, natural disasters, etc.) or acts of God.

7. General Provisions
These terms are governed by California law and represent the complete understanding between parties regarding the conditions of service. Modifications must be in writing and signed by both parties. If any provision is deemed unenforceable, the remainder of the terms stay in effect.
